Please read these Terms of Service (“Terms”) carefully before accessing or using the services provided by The JW Corporation. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please refrain from using our services. 

1. Services 

The JW Corporation provides technical sales representation services for Canada’s high-tech manufacturing industry. Our services include, but are not limited to, facilitating communication, providing information, and connecting customers with relevant products and solutions. 

1. Acceptable Use 

You agree to use our services only for lawful purposes and in compliance with these Terms and applicable laws and regulations. You shall not engage in any activity that may: 

• Violate any intellectual property rights, privacy rights, or other rights of third parties. 

• Transmit or distribute any harmful, defamatory, obscene, or otherwise objectionable content. 

• Interfere with or disrupt the functioning of our services or servers. 

1. Intellectual Property 

All intellectual property rights, including copyrights, trademarks, and trade secrets, associated with our services and any content provided or made available through our services are owned by The JW Corporation or our licensors. You shall not use, reproduce, modify, or distribute any intellectual property without our prior written consent. 

1. Limitation of Liability 

To the fullest extent permitted by applicable law, we shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with the use or inability to use our services. We shall not be responsible for any damages, losses, or liabilities arising from your reliance on the accuracy, completeness, or usefulness of any information obtained through our services. 

1. Indemnification 

You agree to indemnify, defend, and hold The JW Corporation and its officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in connection with your use of our services or any violation of these Terms. 

1. Modifications to the Services 

We reserve the right to modify or discontinue our services, or any part thereof, temporarily or permanently, with or without notice. You agree that we shall not be liable to you or any third party for any modification, suspension, or discontinuance of our services. 

1. Governing Law and Jurisdiction 

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where The JW Corporation is located. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts in that jurisdiction. 

1. Entire Agreement 

These Terms constitute the entire agreement between you and The JW Corporation regarding the use of our services and supersede any prior or contemporaneous agreements, communications, or understandings. 

1. Severability 

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
